This is a fantastic opportunity for a Business Manager/Assistant Company Secretary who is seeking a role where they can be an integral team member of the Senior Management Team within a progressive and developing organisation with the Property and Environment sector.
The role will be varied and interesting and will appeal to an ambitious and motivated individual who wants to get involved, progress and be at the heart of developing and achieving business plans and growth for the Group.
This position will also develop to offer the opportunity to Act as Company Secretary and Governance Lead, so a keen interest in the legislation and a desire to learn would be a great asset within this role
Duties will include
- Assisting the Managing Director and Board in key tasks that will be crucial to Business Planning, Development and growth of the organisation.
- Organise and plan all Board meetings,
- Ensuring timely and efficient scheduling of Board meetings, with appropriate attendees in consultation with Chair(s);
- Agreeing agenda with Chair(s);
- Co-ordination of requests for papers
- Ensuring timely and correct preparation of Board Packs in advance of meetings
- Producing reports to shareholder
- Recording accurate minutes
- Taking ownership for the Boards Action Plan. Ensuring that all plans are actioned, achieved and accomplished within specified deadlines.
- Managing Projects for the MD
- Supporting the Chairman to ensure the Board acts efficiently and effectivelyAssist in marketing the HTS brand to help develop business opportunities.
- Taking on responsibilities performed by the Company Secretary (Training will be offered) Eventually taking on sole responsibility for all Company Secretarial duties, maintaining all statutory obligations and acting as legal voice to the Board
- Managing Governance procedures for the group (Training offered) - Will progress to become Governance Lead for the organisation
- Manage Freedom of Information requests
- Act as DPO Lead
- Liaise closely with Client Colleagues to ensure a smooth and co-ordinated governance process
- Ensuring effective record keeping, filings and administration in relation to all Board and governance matters for group companies
- Provide effective advice to the Board (through the Chair) on all corporate governance matters
- Ensure annual board effectiveness review is undertaken
- Ensure memoranda, articles of association and other governance related documentation are reviewed at appropriate intervals
